There has been a lot of work happening behind the scenes regarding the NeSSA-NHSSA merger this summer.
NHSSA was encouraged by our legal team to retain an attorney to review the documents and ensure that this will be a fair and equal transaction for both parties. The New Hampshire board has since engaged with an attorney who is working with both NeSSA staff and our attorney to cross-check all items.
We have been working with our attorney to create the merger documents, outline an estimated timeline, and update our bylaws. We are happy to say that we are nearly complete with these documents and that they will be ready for the first step of board approval soon.
The bylaws have been updated to reflect current state law, cleaned up our list of active committees, updated and clarified the voting process for the Board of Directors, and incorporate policies such as a Conflict of Interest and Member Code of Conduct.
If everything goes according to the current plan, you can expect to receive the formal information regarding the merger, the revised bylaws, and accompanying documents including your proxy to vote before the end of August. This is in line with our current Bylaws which require a 30-day notice of distribution of materials prior to the scheduled Special Meeting. You are encouraged to review the documents and cast your vote via a DocuSign link that will be sent before the Special Meeting - currently scheduled for the end of September (this date will be confirmed in the formal documentation you will receive soon).
With your support, we are aiming for the merger to go into effect January 1, 2026.
